Concierge Inc. Terms of Service

These Terms of Service govern access to and use of Concierge Inc. websites, applications, rideshare features, support channels and any delivery or logistics services that Concierge makes available. By creating an account, submitting a request, accepting these Terms electronically or using an available Concierge service, you agree to these Terms to the extent permitted by applicable law.

1. Eligibility and accounts

You must be legally capable of entering into a binding agreement to create and use an account. Where lawful, a minor may use a service only through an authorized adult. You must provide accurate account information, protect your credentials and promptly notify Concierge of suspected unauthorized access. You are responsible for activity conducted through your account except where applicable law provides otherwise.

2. The Concierge platform

Concierge is a Georgia-based technology platform supporting rideshare and developing additional delivery and logistics capabilities. The platform coordinates service requests, independent providers, merchants and operational information. Not every service is available in every area, and planned services are not available until Concierge formally launches them.

3. Ride and service requests

When you request a ride or another available service, you are responsible for accurate pickup, destination, contact and request information. Quotes or estimates may change when actual distance, time, route, tolls, taxes, regulatory charges, waiting time, authorized adjustments or other disclosed components differ from the estimate. Service availability is not guaranteed and may be affected by provider availability, traffic, weather, maintenance, safety conditions or legal restrictions.

4. Pricing and payments

Concierge’s rideshare model is designed without surge multipliers. Charges may include a transportation fare based on disclosed components such as base fare, mileage and time, a separate Concierge service fee, tips selected by the user, taxes, tolls and legally required or otherwise disclosed charges. Payment transactions may be processed by third-party payment providers. You authorize charges for services you request and any properly disclosed adjustments. Promotions, credits, refunds and cancellation treatment are subject to the terms displayed for the applicable service and applicable law.

5. Independent service providers

Drivers and other participating service providers may operate as independent contractors rather than employees, subject to applicable law and their agreements with Concierge. Concierge provides technology, coordination, standards and support but does not represent that it controls every act or decision of an independent provider. Separate driver terms may apply to providers who use the platform.

6. User conduct

You may not use Concierge for unlawful, fraudulent, abusive, discriminatory, harassing, violent or unsafe conduct. You may not interfere with the platform, impersonate another person, share accounts without authorization, manipulate requests or dispatch, introduce malicious code, scrape or reverse engineer protected functionality except where law expressly permits, or use the service to transport prohibited or dangerous items.

7. Safety and emergencies

Concierge is not an emergency service. If you believe there is an immediate threat to life or safety, call 911 or the appropriate emergency authority. Users and providers must comply with applicable safety rules, nondiscrimination requirements and incident-reporting procedures.

8. Location, devices and privacy

Some services require location or device permissions for pickup, routing, dispatch, trip progress, fraud prevention, safety or service completion. Your use of personal information is also governed by the Concierge Privacy Policy.

9. Suspension and termination

Concierge may restrict, suspend or terminate access when reasonably necessary to address fraud, material policy violations, safety threats, legal requirements, security risks or nonpayment, subject to applicable law and any contractual notice or appeal rights. You may stop using the platform at any time, subject to outstanding obligations.

10. Intellectual property

Concierge and its licensors retain their rights in the platform, branding, software, content and related intellectual property. These Terms give you a limited right to use available services for their intended purpose. They do not transfer ownership of Concierge intellectual property.

11. Third-party services

The platform may interact with payment providers, mapping services, merchants, background or compliance providers and other third parties. Their services may be governed by separate terms and privacy practices. Concierge is not responsible for third-party services beyond responsibilities imposed by applicable law or an applicable agreement.

12. Service availability and disclaimers

Concierge works to provide reliable service, but technology, networks and third-party systems can experience delays, errors, maintenance or outages. To the extent permitted by law, available services are provided without a guarantee of uninterrupted or error-free operation. Nothing in these Terms excludes rights or remedies that cannot lawfully be waived.

13. Limitation of liability

To the extent permitted by applicable law, liability arising from use of the platform will be determined under the governing contracts, the facts of the matter and applicable law. These Terms do not limit liability where the law prohibits limitation and do not create an artificial liability cap that is not otherwise supported by an approved agreement.

14. Indemnification

To the extent permitted by law, a user may be responsible for losses or claims resulting from that user’s unlawful conduct, fraud, material misuse of the platform or violation of another person’s rights. This provision does not override nonwaivable legal protections.

15. Governing law and disputes

These Terms are governed by applicable law, including Georgia law where legally appropriate, while preserving mandatory protections that apply in a user’s jurisdiction. Disputes may be submitted through Concierge’s verified contact channel. Any arbitration, class-action waiver or other specialized dispute process applies only if contained in a separately approved agreement that legally governs the dispute.

16. Changes and general terms

Concierge may update these Terms as its services, laws or business operations change. Material changes will be communicated as required by law. If any provision is unenforceable, the remaining provisions remain in effect to the extent permitted. A failure to enforce a provision is not a waiver. These Terms, together with applicable service-specific agreements and policies, form the agreement governing your use of the platform.
